Horse Food Distributor Agreement Overview

1. Appointment and Role

Appointment: Eous appoints the Distributor as a non-exclusive distributor to promote, sell, and distribute 40 lb bags of Bos Equus Food (the "Product") within a specific geographic area (the "Territory") outlined in Exhibit A.

Distributor’s Commitment: The Distributor agrees to use their best efforts to market and sell the Product in the assigned Territory.
2. Agreement Term

Duration: The agreement begins on the Effective Date and lasts for one year, unless terminated earlier as outlined in the termination section.
3. Distributor Responsibilities

Promotion and Sales: Actively market, promote, and sell the Product within the Territory.

Minimum Purchases: Meet the minimum purchase quantities specified in Exhibit B.

Website: Maintain a business website and online store to market and sell the Product, with links back to the Supplier’s website (www.thehorsefood.com).

Inventory: Keep adequate stock levels and store the Product under proper conditions.

Compliance: Follow all laws and regulations related to the sale and distribution of the Product.

Advertising: Display and distribute advertising materials to potential clients, tagging the Supplier in all social media ads.
4. Supplier Responsibilities

Product Supply: Provide the Product based on the Distributor’s purchase orders.

Marketing Support: Supply marketing materials, training, and promotional assistance, including:

1 banner per distributorship.

10 playbooks per ton of feed.
-
1 weekly social media idea (extras available for purchase).

Product Quality: Guarantee Product quality and replace any defective or non-conforming items.

Education: Host discussions on feed health and use at the Eous Obvio meeting, where Distributors may invite up to 10 new guests monthly.
5. Pricing and Payment

Pricing: Purchase Products at prices listed in Exhibit C, subject to change with 30 days’ written notice.

Payment Terms: Pay invoices within 10 days; late payments incur a 10% monthly interest fee.

Shipping Costs: Distributor covers all shipping expenses.

Taxes: Distributor is responsible for all taxes, duties, and levies related to Product purchase and resale.

Support: Questions about shipping, pricing, or distribution can be addressed in a scheduled Zoom meeting with the Supplier’s management team.
6. Territory and Exclusivity

Territory: Market and sell the Product only within the assigned Territory (see Exhibit A).

Non-Exclusivity: Eous may appoint other distributors or sell directly in the Territory unless exclusivity is granted.

Exclusivity Option: If the Distributor maintains adequate inventory, they gain exclusive rights to sell in chosen zip codes. Additional territory can be purchased for $1,250 per county annually on the agreement anniversary.

Event Marketing: Distributors may promote the Product at events or activities, covering all related fees except provided advertising materials.

Supplier Website Orders: If a client in the Distributor’s Territory orders from the Supplier’s website, the order is forwarded to the Distributor to fulfill from their inventory, with payment at the website rate.
7. Intellectual Property

Usage: The Distributor may use Eous’s trademarks, logos, and materials only for marketing and selling the Product during the agreement term.

Ownership: The Distributor gains no ownership rights to the Supplier’s intellectual property.
8. Termination

For Cause: Either party may terminate with 60 days’ written notice if the other party materially breaches the agreement.

Without Cause: Either party may terminate with 10 days’ written notice for any reason.

Post-Termination: Upon termination, the Distributor must stop selling the Product and return or dispose of remaining inventory as directed by Eous.
9. Confidentiality

Protection: The Distributor must keep all confidential information from Eous private during the agreement and for 10 years after it ends.
10. Additional Terms

Governing Law: The agreement is governed by Texas state law.

Amendments: Changes must be written and signed by both parties.

Entire Agreement: This document is the complete agreement, replacing any prior agreements.
